OfficeXpats is a site intended as a resource for individuals and businesses engaged with our coworking community for the purpose of membership, meeting room rentals, and business networking or collaboration events. We encourage you to browse the site and download or print the materials for your personal use, provided that you do not remove any copyright or other proprietary notices contained on the site. Browsing the site does not grant you any rights to the intellectual property of OfficeXpats. You may not copy, modify, distribute, or sell any material on this site for commercial or public purposes without explicit written permission from OfficeXpats. Please review the Terms of Use set forth below carefully. By accessing and browsing this site, you are agreeing to all of these terms and conditions without limitation or exception. If you do not agree with any of the Terms of Use, please do not use this site. OfficeXpats reserves the right to change these Terms of Use at any time, and by continuing to use the site after we post a change, you will be deemed to have accepted the new Terms of Use. Use of the Site.

You agree not to modify, distribute, display, or exploit the contents of this site in any way, except as authorized on this page.

Although OfficeXpats will make reasonable efforts to ensure the accuracy of the site, this may not always be possible. OfficeXpats does not guarantee that this site will operate error-free or uninterrupted.

Responsible Conduct.

You agree to act responsibly at this site and to treat other members/visitors with respect. You agree not to use this site to harass, harm, or abuse other people directly or indirectly with information obtained from this site.

Written Submission to the Site.

We welcome submissions and contributions to the site from our Members, such as your profile information; however, we reserve the right to accept or reject the submissions in whole or in part. We also reserve the right to edit materials submitted. Such revisions may include, without limitation, the elimination of any material OfficeXpats deems to be inappropriate, unlawful, or obscene.

Any material or communication submitted by electronic or other means will be treated as non-confidential and non-proprietary. OfficeXpats is free to use any ideas, concepts, or work you submit in any manner and in any medium or method of distribution whatsoever, subject to the submissions policy. Unless we have agreed in writing beforehand to other terms, you agree to grant OfficeXpats a non-exclusive, fully-paid, royalty-free, and perpetual worldwide license to use, copy, modify, adapt, translate, publicly display, store, reproduce, reformat, transmit, and distribute your written submissions. These submissions can be in the form of a blog, a story, an article, recipe, a forum entry, a comment, or other written form or an image, photograph, or video. A backup or residual copy of your submission may remain on OfficeXpats’ servers even if your submission is removed from the website, and OfficeXpats retains rights to those copies. You represent and warrant that (a) you own the submission submitted by you to the OfficeXpats website, and (b) the posting of your submission on or through the OfficeXpats website does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any submission posted by you to or through the OfficeXpats website.

This submission policy applies to any information you submit to us for inclusion in an e-book or other electronic medium. Unless otherwise agreed to in writing, we will provide attribution to the author submitting the information. Never submit someone else’s work as your own.

Post Only Accurate and Proper Information.

To maintain the overall integrity of the data within the site, OfficeXpats requests that users refrain from posting inaccurate information of any kind. OfficeXpats cannot guarantee that all the data and information within this site are accurate. OfficeXpats does not verify the identity of people posting comments to this site, except to require that the person posting has registered on OfficeXpats. If OfficeXpats discovers inaccurate information that has been submitted, we may, at our election, delete such information and ban the user from the site. The site is open to the public. Disclose only what you feel comfortable disclosing. If the posting is public, anyone can read your postings. Post only information that you want the public to see, or those members you have selected in your profile to view your postings. In addition, do not post any of the following:

Someone else’s contact information without his or her permission;
Commercial advertisements;
For sale ads;
Fundraising requests;
Inflammatory material; or
Links to personal or profession websites with questionable content.

Uploading of Photos, Graphics, and Video Content.

You are solely responsible for the photos, profiles (including your name and images), video, music, and other content (“User Content”) that you upload, publish, display (“post”) on or through the site, or transmit to or share with other users. Do not post, transmit, or share any User Content that you did not create or that you do not have permission to post. By uploading any content to this site, you thereby give permission to OfficeXpats to review any and all of the content, and also give permission to OfficeXpats to remove or delete the content without advance notice to you, for any or no reason at all, including that OfficeXpats determines, in its sole discretion, that the content violates this Agreement.

When you post User Content to the Site, you authorize and direct us to make such copies as we consider necessary to facilitate the posting and storage of the User Content on the site. By posting User Content to any part of the site, you automatically grant, and you represent and warrant that you have the right to grant, OfficeXpats a non-exclusive, fully-paid, transferable, royalty-free, and perpetual worldwide license (and right to sublicense) to use, copy, modify, adapt, translate, publicly display, store, reproduce, reformat ,transmit, and distribute your User Content for any purpose, commercial, advertising, or otherwise, on or in connection with the site, to prepare derivative works of, or incorporate into other works, such User Content. You may remove your User Content from the site at any time. If you choose to remove your User Content, the license granted above will automatically expire; however, you acknowledge that the Company may retain archived copies of your User Content. OfficeXpats does not assert any ownership over your User Content; rather, as between us and you, subject to the rights granted to us in these Terms, you retain full ownership of all of your User Content and any intellectual property rights or other proprietary rights associated with your User Content.

Limited License/Copyright and Intellectual Property Law Restrictions.

All materials provided in emails or Web pages generated by OfficeXpats, including, but not limited to, information, documents, content, products, graphics, sounds, images, and software, are provided either by OfficeXpats or its third party licensors and are protected by OfficeXpats or its third party licensors’ copyrights, trademarks, service marks, patents, or other proprietary rights and laws.

You are hereby granted a non-exclusive license to use the material at this site (“Content”) while connected to this site. You are also granted a limited license to print any Content posted at the site, but only for your personal use. Except as expressly provided above, all rights are reserved. Except to the extent required for the limited purpose of reviewing material on our site, electronic reproduction, adaption, distribution, performance or display is prohibited. Changes to or deletion of copyright notices are prohibited. Commercial use of any of the Content is strictly prohibited. OfficeXpats may, in appropriate circumstances and at its discretion, remove or disable access to material on the Web site that infringes upon the copyrights of others. OfficeXpats also may, at its discretion, remove or disable links or references to an online location that contains infringing material or infringing activity. In the event that any visitors to OfficeXpats.com repeatedly infringe on others’ copyrights, OfficeXpats may in its sole discretion terminate those individuals’ rights to use the website. Jurisdiction and Disputes.

This Agreement shall be governed by the laws of Washington, and all disputes shall be resolved in the applicable state or federal courts of Washington.

Indemnification.

You agree to indemnify, defend and hold harmless OfficeXpats, its officers, directors, employees, agents, licensors, and any third-party providers of information or services to the site from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from your violation of these Terms of Use, any unauthorized use of materials found on this site, or your violation of the intellectual property rights of OfficeXpats or any of those other parties.
